Welcome to TNT Billing Solutions (“TNT,” “we,” “us,” “our”). These Terms & Conditions (“Terms”) govern your use of our website at https://tnthbs.com/
 (the “Site”) and your engagement with our services (collectively, “Services”). By accessing the Site or using our Services, you agree to be bound by these Terms.

If you do not agree with these Terms, please do not use the Site or Services.

1. Eligibility & Acceptance

1.1 You must be at least 18 years old (or the legal age in your jurisdiction) to use this Site or enter into these Terms.

1.2 By using the Site or our Services, you represent that you have full legal capacity to enter into these Terms and to engage in the Services.

1.3 We reserve the right, at our sole discretion, to refuse or terminate access or Services to any individual or entity for any reason, including violation of these Terms.

2. Services & Engagement

2.1 Scope of Services. TNT provides medical billing, revenue cycle management, coding, claims processing, payer follow-up, audits, credentialing support, AR cleanup, and related services.

2.2 Proposal & Agreement. All Services will be described in a separate proposal or service agreement (“Service Agreement”) signed by both parties. That document will define deliverables, fees, timeline, and obligations.

2.3 Changes & Amendments. Any modifications or additional services outside the original scope must be agreed in writing (email or amendment). Additional fees may apply.

2.4 Deliverables & Ownership.

Upon full payment, you will receive ownership of deliverables as defined in the Service Agreement.

TNT retains ownership of methodologies, tools, templates, or proprietary systems used in providing Services.

We may use non-confidential deliverables for our marketing portfolio, unless otherwise restricted in writing.

3. Fees, Invoice & Payments

3.1 Fees & Payment Terms. Fees for Services will be set in the Service Agreement. Unless otherwise agreed, payment is due within [30] days from invoice date.

3.2 Deposit / Retainer. A deposit or retainer may be required before work begins. TNT is not obligated to commence work until deposit is paid.

3.3 Late Payments. Late payments may incur interest (e.g., 1.5% per month) or late fees, as permitted by law.

3.4 Refunds & Cancellations.

If you cancel before work has begun, a refund of unused amounts may be considered (less administrative costs).

If Services are underway, refunds are discretionary and based on work completed and costs incurred.

One-off or audit-type deliverables, once delivered, may be non-refundable.

3.5 Expenses. You shall reimburse TNT for pre-approved out-of-pocket expenses (e.g. software licenses, clearinghouse fees, third-party services) with documentation.

4. Client Obligations & Representations

4.1 You will provide TNT with all necessary information, access (e.g. EMR, payer portals), documentation, and cooperation in a timely manner.

4.2 You affirm that any materials (patient records, documentation, custom forms) you supply do not violate privacy, copyright, or other third-party rights.

4.3 If your delays or lack of cooperation impede TNT’s performance or affect timelines, TNT is not liable for resultant delays.

5. Confidentiality & Privacy

5.1 Both parties may access confidential information (business methods, pricing, client data, processes). “Confidential Information” excludes information already public or lawfully obtained from other sources.

5.2 The receiving party will not disclose Confidential Information to third parties or use it beyond fulfilling obligations under the Services.

5.3 Confidentiality obligations survive for a period of [e.g. 3 years] after termination.

5.4 In performing medical billing, TNT may handle Protected Health Information (“PHI”). You must ensure compliance with all legal requirements (e.g. HIPAA). TNT will adopt reasonable safeguards consistent with its obligations but cannot be liable for your breach of regulatory duties.

6. Compliance, Disclaimers & Limitations

6.1 Regulatory Compliance. You remain responsible for ensuring all services, coding, claims, and documentation comply with applicable laws, payer policies, and regulations.

6.2 No Guarantee of Results. TNT does not guarantee specific outcomes (e.g. revenue increases, claim approvals, payer acceptance). Billing and reimbursement depend on many external factors beyond our control.

6.3 Warranties Disclaimed. Services are provided “as is,” without warranties of merchantability, accuracy, fitness for any particular purpose, or noninfringement, except as explicitly stated in Service Agreement.

6.4 Limitation of Liability.

TNT’s total liability under these Terms or any Service Agreement shall not exceed the total fees paid by you for the relevant Services.

In no event will TNT be liable for indirect, incidental, consequential, punitive, or lost profits, even if advised of potential damages.

Some jurisdictions may not allow certain disclaimers, so if part is unenforceable, the remainder stays in effect.

7. Indemnification

You (the Client) agree to defend, indemnify, and hold harmless TNT, its officers, employees, contractors, and agents from any claims, damages, liabilities, costs, and expenses (including attorney’s fees) arising from:

Your breach of these Terms;

Your violation of laws or third-party rights;

Your content, materials, or instructions to TNT;

Use or misuse of deliverables outside of permitted scope.

8. Term & Termination

8.1 Term & Effectiveness. The Services begin upon execution of the Service Agreement and payment of any required deposit.

8.2 Termination for Convenience. Either party may terminate a Service Agreement with [30] days’ written notice, unless otherwise agreed.

8.3 Termination for Cause. Either party may terminate immediately if the other materially breaches these Terms or the Service Agreement and fails to cure within [14] days of notice.

8.4 Effect of Termination. Upon termination:

You must pay for Services rendered and expenses incurred to termination date.

TNT will cease performance.

Provisions on confidentiality, indemnification, limitations, and ownership survive termination.

9. Governing Law & Dispute Resolution

9.1 Governing Law. These Terms and any Service Agreement shall be governed by and construed under the laws of the state of [insert state where TNT is incorporated / headquartered] without regard to conflict of laws.

9.2 Jurisdiction & Venue. You agree that any legal proceedings will be brought in appropriate state or federal courts in [County / Region of the chosen state], and you consent to venue and jurisdiction there.

9.3 Mediation / Arbitration (Optional). Before filing suit, parties may agree to attempt mediation. If unresolved, disputes may proceed to binding arbitration under applicable rules, unless waived.

10. Modifications to Terms

TNT may modify these Terms at any time. We will post updated Terms on the Site with a new Effective Date. Continued use of the Site or Services after revisions constitutes acceptance.

11. Third-Party Links & Integrations

The Site may contain links to third-party websites or integrations (e.g. EMR systems, clearinghouses). We do not control and are not responsible for their content, privacy practices, or operations. Use them at your own risk.

12. Miscellaneous

Assignment. You may not assign or transfer your rights or obligations without TNT’s written consent. TNT may assign to a successor or affiliate.

Force Majeure. Neither party is liable for any delay or failure caused by circumstances beyond reasonable control (e.g. natural disasters, acts of God, strikes, system outages).

Severability. If any provision is found invalid or unenforceable, the remainder of the Terms remain in full force.

Waiver. No delay or failure by TNT to enforce any right is a waiver of that or any other right.

Entire Agreement. These Terms, together with any executed Service Agreements, proposals, and exhibits, constitute the full agreement between you and TNT, superseding prior agreements or understandings.
